By-Laws of the Asian American Student Union
(Updated for 2009-2010 school year)

Article I

Purpose

The purpose of the by-laws is to provide the technical detail needed to implement the provisions of the Constitution.


Article II

Membership

Section 1 - Individual Membership

1) Active Membership - Active member is defined as an individual who has his or her name on a roster sheet and attends regularly scheduled meetings. Each active member is entitled to speaking and voting privileges.

2) Honorary Membership - The Executive Board shall have the right to confer Honorary Membership upon a majority vote of the Board. Honorary Members have limited speaking privileges at the discretion of the President. Honorary Members do not have voting privileges.


Article III

Officers

Section 1 - Eligibility of Officer

Active members must have a minimum grade point average of 2.0 in order to be eligible for election to all offices of the organization.

Section 2 - Term of Office

Officers shall serve a one year term. No officer shall serve more than two terms in one office.

Section 3 - Duties of Officers

A) President - The President shall have all general powers and duties which are generally vested in the office of President. The President shall preside at all regular meetings, Executive Board meetings, and special meeting; shall appoint the chairpersons of all committees; shall establish other committees subject to the approval of the organization; and shall serve as the chairperson of the Executive Board.

B) Vice President - In the absence or disability of the President, the Vice President shall perform the duties and exercise the power of the President. The Vice President shall perform other duties as assigned by the President and shall be responsible for the advertisements of all regular meetings and press coverage of group events and activities.

C) Secretary - The Secretary shall keep minutes of all the Executive Committee and general membership meetings. Reading of the minutes and roll call shall be taken by the Secretary at the beginning of each meeting. The Secretary shall also prepare all correspondence for mailing to the general membership and shall prepare other correspondence as prescribed by the President and the Executive Board.

D) Treasurer - The Treasurer shall receive and record all monies received by the organization and disburse as directed by the Executive Board. The Treasurer will also report on the financial status of the organization at regularly scheduled meetings.

E) Historian - The Historian shall be responsible for keeping a scrapbook of all group activities and events. The Historian should be familiar with the use of a camera.

Section 4 - Method of Selection

A) Officers shall be elected by majority vote on the last meeting in the month of April.

B) Nominations shall be made on the first meeting in the month of April.

C) Voting shall be held on the last meeting in the month of April.

D) Newly elected members will be installed at the last meeting of the year.

Section 5 - Vacancies

A) President - In the absence of or upon the resignation of the President, the Vice President accede to the Office of President with all the rights and privileges of that office.

B) All other vacancies shall be filled by a special election to be held at the next meeting of the general membership. Nomination shall be made in the meeting prior to the election. Only active members shall be eligible for election (Article III Section 1). The term of the newly elected officer shall begin at the first meeting after the election.

C) In the absence of the President at a meeting, the hierarchy of the general officers is to be honored in the order that they are written under Article III of the Asian American Student Union Constitution.

Section 6 - Removal of Officers

A two-thirds majority vote by the general membership shall be required to remove an officer.
